The Estate Tax Exemption is changing – whether in 2026 when the current exemption reduces or sooner if there is a change of administration or simply as part of addressing the over $2.4 Trillion to date the federal government has spent on COVID relief.   Join us to discuss a host estate planning strategies to put in place NOW with detailed examples of successful implementation.                     

This program has been submitted for approval by the Board on Continuing Legal Education of the Supreme Court of New Jersey for 1 hour of total CLE credit. Of these, 0 qualify as hours of credit for ethics/professionalism, and 0 qualify as hours of credit toward certification in civil trial law, criminal trial law, workers compensation law, municipal court law, and/or matrimonial law.

At each annual meeting, the members are asked to vote to approve the slate of Board members and officers recommended by the Board.  Pursuant to the Council’s bylaws, the vote of the Members to approve directors and officers must be held at an annual meeting at which a quorum is present.  The bylaws further allow for the convening of a meeting by electronic means. The Board is looking forward to your attendance at the virtual annual meeting.  However, if you are unable to attend, the Board requests that you designate Lesley Draper, Council President, to vote at the meeting on your behalf by proxy on the question of appointing the directors and officers recommended by the Board [1] .  By granting your proxy, you will be included in the count of members present for purposes of establishing a quorum at the annual meeting. [2]

To grant your proxy, please email     epcnnj.laura@gmail.com   the following:

“I hereby grant a limited proxy to Lesley Draper, Council President, to vote at the Annual Meeting of the Estate Planning Council of Northern New Jersey (“Council”) on my behalf on the question of appointing Council directors and officers for the Council’s 2020-2021 fiscal year.”

[1] NJSA  15A:5-18 provides that “[u]nless otherwise provided in the certificate of incorporation or bylaws, every member entitled to vote at a meeting of members or to express consent without a meeting may authorize another person or persons to act for the member by proxy.” Neither the Council’s certificate of incorporation nor bylaws prohibits proxy voting.

 

[1] NJSA  15A:5-9 provides that “[u]nless otherwise provided in the certificate of incorporation, the bylaws, or this act, the members entitled to cast a majority of the votes at a meeting shall constitute a quorum at the meeting. The members present in person or by proxy at a duly organized meeting may continue to do business until adjournment …” Neither the Council’s certificate of incorporation nor bylaws prohibits counting a member granting a proxy as an attendee at any meeting, for purposes of establishing a quorum.
