The Board is looking forward to your attendance at the virtual annual meeting.  However, if you are unable to attend, the Board requests that you designate Lesley Draper, Council President, to vote at the meeting on your behalf by proxy on the question of appointing the directors and officers recommended by the Board [1] .  By granting your proxy, you will be included in the count of members present for purposes of establishing a quorum at the annual meeting. [2] \n \nTo grant your proxy, please email     [epcnnj.laura@gmail.com ](mailto:epcnnj.laura@gmail.com)  the following:\n \n“I hereby grant a limited proxy to Lesley Draper, Council President, to vote at the Annual Meeting of the Estate Planning Council of Northern New Jersey (“Council”) on my behalf on the question of appointing Council directors and officers for the Council’s 2020-2021 fiscal year.”\n \n[1]  NJSA  15A:5-18 provides that “[u]nless otherwise provided in the certificate of incorporation or bylaws, every member entitled to vote at a meeting of members or to express consent without a meeting may authorize another person or persons to act for the member by proxy.” Neither the Council’s certificate of incorporation nor bylaws prohibits proxy voting.\n \n \n \n[1]  NJSA  15A:5-9 provides that “[u]nless otherwise provided in the certificate of incorporation, the bylaws, or this act, the members entitled to cast a majority of the votes at a meeting shall constitute a quorum at the meeting. The members present in person or by proxy at a duly organized meeting may continue to do business until adjournment …” Neither the Council’s certificate of incorporation nor bylaws prohibits counting a member granting a proxy as an attendee at any meeting, for purposes of establishing a quorum.\n
